Public Offer to Enter into an Agreement for the Use of Neuroplace Platform Services

This document is a public offer under the laws of the Republic of Kazakhstan addressed to legal entities, sole proprietors, and fully capable individuals who are residents of the Republic of Kazakhstan.
An individual client confirms that they are at least 18 years old and fully capable. A person accepting the Offer on behalf of a client confirms they have sufficient authority.
1. Subject of the Agreement
The Agreement sets the general terms for providing the Client with remote access to Neuroplace services over the Internet.
The list of services, available functionality, restrictions, and pricing are published on the Site and/or in the Platform interface. The Service Provider may change the composition of services for technical, legal, or other reasons.
The Privacy Policy and other rules or instructions referenced by the Offer form an integral part of the Agreement.
2. Acceptance and Contract Formation
Any conclusive action demonstrating acceptance of the Offer constitutes full and unconditional acceptance.
Unless otherwise stated by mandatory law or by the Offer itself, the Agreement is concluded for an indefinite term from the moment of acceptance.
The Service Provider may refuse registration or access where there is no technical possibility, where the Agreement is violated, or where law or technology providers require restrictions.
- Registration of an account on the Site and subsequent use of the services.
- Making a payment, topping up balance, or using paid functions where applicable.
- For the Bot, confirming consent and continuing to use the Bot.
3. Trial Access
The Service Provider may grant trial access, credits, or usage limits on the conditions published on the Site, in the Platform, or otherwise communicated to the Client.
During a trial period, additional limitations may apply, and no guarantee of uninterrupted availability is given.
4. Service Management and Client Duties
- Access to services is provided remotely via the Internet; the Client is responsible for its own connection, equipment, and software.
- Ordering, configuring, and managing services is performed by the Client through the Platform and/or the Bot within the available functionality.
- The Client must keep credentials confidential and immediately notify the Service Provider if compromise is suspected.
- The Client must provide accurate registration information, keep it current, comply with the laws of the Republic of Kazakhstan, and respect third-party rights.
5. Pricing and Settlements
Service pricing is determined by tariffs and prices published on the Site and/or in the Platform interface and is based on actual consumption and/or the selected plan, package, or subscription.
Prices may be shown without taxes unless expressly stated otherwise. Where taxes or charges must be applied by law, they are reflected according to applicable legal rules.
Settlements are generally made in Kazakhstani tenge (KZT), unless another currency is indicated on the Site or in the Platform interface.
The Service Provider may change tariffs by updating published information and, where possible, by notifying the Client through the Platform or by email.
6. Rights and Obligations of the Service Provider
- To provide access to the services where technically possible.
- To review requests sent to support@neuroplace.ai within a reasonable period.
- To take reasonable measures to protect the Platform and its infrastructure.
- To introduce limits, change functionality or interface, and update technical rules where necessary.
- To suspend or terminate access where the Agreement is violated, where there is a security risk, or where required by law or by technology providers.
- To remove or restrict access to Client content that violates law, third-party rights, or the Agreement.
7. AI Results and Client Responsibility
Services and AI-generated results are provided on an "as is" basis. The Service Provider does not guarantee that results will match the Client's expectations or that third-party provider services will always remain available.
Generated results may contain errors, inaccuracies, or inappropriate output and must be independently reviewed by the Client before business, legal, medical, financial, or public use.
The Client is solely responsible for the legality of prompts, uploads, instructions, and the use of generated materials, including obtaining all necessary rights, permissions, and consents.
8. Liability Limitations
The Service Provider is not liable for indirect losses, lost profits, interruptions caused by telecom operators, hosting providers, payment systems, technology providers, Telegram, or other third parties beyond the Service Provider's control.
To the maximum extent permitted by law, the Service Provider's total liability is limited to the amount actually paid by the Client for the relevant reporting period.
Before going to court, the parties should attempt to resolve disputes through a written claim sent to the contact address indicated in this Offer, unless mandatory law states otherwise.
9. Intellectual Property
All rights to the Platform, software, interfaces, branding, and related materials belong to the Service Provider or its licensors unless expressly stated otherwise.
Rights to third-party models, APIs, and provider services remain with their respective owners and are governed by their own terms where applicable.
The Client retains rights to its own lawful materials and bears responsibility for uploaded content and subsequent use of generated results.
10. Term, Amendments, Governing Law, and Contacts
The Agreement remains in force from acceptance until terminated or until access to the services is stopped on the grounds set out in the Offer or by law.
The Service Provider may amend the Offer and related documents by publishing a new version. Continued use of the services after publication means acceptance of the updated terms.
The laws of the Republic of Kazakhstan govern the Offer, and disputes are resolved under mandatory applicable rules and, where necessary, before the competent court.
